API Bridge - Terms and Conditions

1. Acceptance of Terms

By accessing or using API Bridge services ("Services"), you ("Customer," "Client," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

API Bridge provides custom API integration services connecting a variety of commercial APIs and software systems. Our services include:

  • Custom API integration development
  • Data mapping and synchronization
  • Integration testing and deployment
  • Ongoing maintenance and support
  • Technical consultation and documentation

3. Service Agreement and Scope

3.1 Project Specifications

Each integration project will be governed by a separate Statement of Work (SOW) or Service Agreement that details:

  • Specific deliverables and timelines
  • Technical requirements and specifications
  • Pricing and payment terms
  • Support and maintenance provisions

3.2 Third-Party Dependencies

Our services require integration with third-party APIs and your existing systems. API Bridge is not responsible for:

  • Changes to third-party APIs beyond our control
  • Limitations or restrictions imposed by third-party services
  • Downtime or performance issues with external systems

4. Customer Responsibilities

4.1 System Access

Customer agrees to provide:

  • Necessary access credentials and permissions
  • Technical documentation for existing systems
  • Designated technical contact person
  • Testing environment access when required

4.2 Data and Compliance

Customer is responsible for:

  • Ensuring all data shared complies with applicable laws
  • Obtaining necessary permissions for data integration
  • Maintaining appropriate data backups
  • Compliance with industry-specific regulations

5. Payment Terms

5.1 Fees and Billing

  • Development fees are specified in individual project agreements
  • Monthly maintenance fees apply to ongoing support services
  • Invoices are due within 30 days of receipt
  • Late payments may incur a 1.5% monthly service charge

5.2 Expenses

Customer is responsible for reimbursing reasonable out-of-pocket expenses incurred in connection with services when pre-approved in writing.

6. Intellectual Property

6.1 Custom Integrations

API Bridge retains ownership of:

  • Proprietary methodologies and frameworks
  • Reusable code components and libraries
  • General knowledge and experience gained

6.2 Customer Data and Systems

Customer retains all rights to:

  • Existing business data and systems
  • Custom configurations specific to Customer's implementation
  • Business processes and proprietary information

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, including:

  • Technical specifications and system architectures
  • Business processes and data structures
  • API keys, credentials, and access information
  • Financial and operational information

This obligation survives termination of services

8. Data Security and Privacy

8.1 Security Measures

API Bridge implements industry-standard security practices:

  • Encrypted data transmission and storage
  • Access controls and authentication protocols
  • Regular security assessments and updates
  • Secure development practices

8.2 Data Handling

  • Customer data is processed only as necessary to provide services
  • Data is not shared with third parties except as required for service delivery
  • Data retention policies align with business needs and legal requirements

9. Service Level Agreement

9.1 Availability

API Bridge strives for 99% uptime for production integrations, excluding:

  • Scheduled maintenance windows
  • Third-party system outages
  • Force majeure events

9.2 Support Response Times

  • Critical issues: 4 hours during business hours
  • Standard issues: 24 hours during business hours
  • Business hours: Monday-Friday, 9 AM - 5 PM EST

10. Limitation of Liability

10.1 Limitation of Damages

In no event shall API Bridge's total liability exceed the amount paid by Customer in the twelve (12) months preceding the claim.

10.2 Excluded Damages

API Bridge shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss due to third-party system failures
  • Damages resulting from Customer's misuse of services

11. Warranties and Disclaimers

11.1 Service Warranty

API Bridge warrants that services will be performed in a professional manner consistent with industry standards.

11.2 Disclaimer

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

12. Termination

12.1 Termination Rights

Either party may terminate services with 30 days written notice. API Bridge may terminate immediately for:

  • Non-payment of fees
  • Material breach of these Terms
  • Violation of acceptable use policies

12.2 Effect of Termination

Upon termination:

  • Customer remains liable for all accrued fees
  • API Bridge will provide reasonable transition assistance
  • Confidentiality obligations remain in effect

13. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service disruptions.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

14.2 Dispute Resolution

Disputes shall be resolved through:

  1. Good faith negotiation
  2. Binding arbitration under Florida Arbitration Code if negotiation fails
  3. Arbitration proceedings conducted in Orange County, Florida

15. General Provisions

15.1 Entire Agreement

These Terms, together with applicable SOWs, constitute the entire agreement between the parties.

15.2 Modifications

Terms may only be modified in writing signed by both parties.

15.3 Severability

If any provision is deemed unenforceable, the remainder of these Terms shall remain in effect.

15.4 Assignment

Customer may not assign rights or obligations without API Bridge's written consent.

15.5 Notices

All notices must be in writing and delivered to the addresses specified in the applicable service agreement.
